2. Commercial & Consulting Services

All bespoke software engineering, consulting, and digital development services offered by Roxonic are governed by separate, formally executed Statements of Work (SOW) or Master Services Agreements (MSA). In the event of a conflict between these Terms and a specific executed agreement, the terms of the executed agreement shall supersede.

3. Intellectual Property Rights

The trademarks, logos, website layout, branding assets, and proprietary platform code (including GymCMS, Minlap, and PsiQ Labs) displayed on this website are the intellectual property of Roxonic Private Limited or its respective licensors. Nothing contained herein grants any license or right to utilize any trademark without prior written authorization.

For custom software development clients, intellectual property ownership over custom project deliverables is transferred upon full settlement of contractually agreed invoices, as detailed in the applicable project agreement.

4. Acceptable Use

Users of our website and software portals agree not to:

• Attempt to probe, scan, or breach the security of our hosting or database systems
• Introduce malicious software, trojans, or automated scripts intended to disrupt services
• Use our contact forms or consultation booking systems for spam or unsolicited commercial outreach

To the maximum extent permitted by applicable Indian law, Roxonic Private Limited shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use this website or its informational content.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute or proceeding arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Ranchi, Jharkhand, India.
